Terms of Service

Welcome to Contact Fuel! These Terms of Service (“Terms”) are a binding agreement between you (“Customer” or “you”) and Contact Fuel, Inc. (or its subsidiaries, as applicable). By creating an account, using our services, or signing an order form that references these Terms, you agree to follow them.

If you do not agree, you must stop using our services immediately.

1. Services and Access

  • We provide email marketing, SMS, Display Ads, Social Media marketing, lead generation, data cloning, data enhancement, and related services (“Services”).
  • You are granted a limited, non-exclusive, non-transferable license to use the Services, subject to these Terms.
  • You are responsible for all activity under your account, including actions of authorized users.
  • You may not misuse the Services (e.g., reverse engineer, resell, bypass security, or compete with us).

 

2. Acceptable Use

You agree not to:

  • Send spam or misleading content or advertisements
  • Share hateful, discriminatory, or harassing content.
  • Promote violence or illegal activities.
  • Use false or deceptive information.
  • Promote firearms or sexual content

Violations may result in account suspension or termination without refund.

 

3. Accounts and Security

  • Keep your login credentials secure. You are responsible for any activity under your account.
  • Notify us immediately if you suspect unauthorized access.
  • Account disputes must be resolved between the parties; we may suspend disputed accounts until resolved.

 

4. Your Content and Products

  • You are responsible for the accuracy, legality, and quality of the data, content, and products (“Your Products”) you upload or sell using our Services.
  • You must handle all shipping, taxes, and customer service for Your Products.
  • Promotions and contests must clearly state they are not sponsored by Contact Fuel.

 

5. Intellectual Property

  • Contact Fuel owns all rights to the Services.
  • You own your customer data and content, but grant us a license to use it to provide and improve our Services.
  • Any ideas or suggestions you provide may be used by us without restriction.

 

6. Fees and Payment

  • You agree to pay the fees listed in your account or order form. Fees may change with notice.
  • Payments are billed in advance unless otherwise specified. Late payments may incur interest and collection costs.
  • All fees are exclusive of taxes, which you are responsible for.

 

7. Privacy and Data

  • Both parties must comply with all applicable privacy and data protection laws (e.g., CAN-SPAM, GDPR, CCPA, LGPD).
  • Our Privacy Notice and Data Processing Addendum explain how we handle personal data.
  • Do not upload sensitive information (e.g., SSNs, health data, credit card numbers).

 

8. Communications

  • We may contact you about service updates, account issues, or promotions.
  • You may opt out of marketing emails but not transactional communications.
  • Calls and chats with our support team may be monitored or recorded.

 

9. Term and Termination

  • Subscriptions renew automatically unless canceled with at least 31 days’ notice.
  • We may terminate your account at any time for violations or non-payment.
  • Upon termination, your rights to the Services end, but obligations like honoring unsubscribe requests continue.

 

10. Disclaimers and Liability

  • Services are provided “as is” without warranties. We do not guarantee uninterrupted or error-free operation.
  • Our total liability is limited to the fees you paid in the 12 months before the claim.
  • We are not liable for indirect, incidental, or consequential damages.

 

11. Indemnification

You agree to defend and indemnify Contact Fuel against claims arising from:

  • Your use of the Services,
  • Your content, data, or products, or
  • Your violation of these Terms or applicable laws.

 

12. Legal Compliance

  • You must comply with all applicable laws (e.g., CAN-SPAM, CCPA, consumer protection, export laws).
  • You may not use our Services if you are on any U.S. sanctions or restricted lists.

 

13. Third-Party Services

  • We may provide links to or integrations with third-party services. We are not responsible for their content or performance.
  • You must comply with their terms in addition to ours.

 

14. Dispute Resolution

  • All disputes will be resolved by binding arbitration through the American Arbitration Association in Delaware.
  • Arbitration must be on an individual basis (no class actions).
  • Delaware law governs these Terms.

 

15. Miscellaneous

  • These Terms, along with any order forms or statements of work, are the entire agreement between us.
  • If any part is unenforceable, the rest remains valid.
  • We are not liable for delays caused by events outside our control (force majeure).
  • Our affiliates and service providers are third-party beneficiaries of these Terms.
